The Corporate Paralegal role, based in Plymouth, MI, is an exciting opportunity to become a part of a collegial, fun, fast moving international Legal team that handles high-profile matters with company-wide impact. As Corporate Paralegal your responsibilities will include administrative support of public company corporate, securities, finance and governance matters, in addition to international corporate subsidiary management, standard commercial contracts and other cross-functional special projects/tasks as needed.
The successful Corporate Paralegal candidate will be a highly responsive self-starter with strong judgment and great organizational skills, who works efficiently in fast moving environments, manages sensitive/confidential tasks with discretion, thinks creatively and is proactive in solving problems. The successful candidate will also be client-service oriented with a high level of professionalism/integrity and have excellent attention to detail while still meeting tight deadlines.
The Corporate Paralegal will report to the VP, Deputy General Counsel (based in Switzerland).
KEY RESPONSIBILITIES:
- Manage corporate governance processes for Parent company and subsidiaries, including general record keeping, calendars/scheduling (including task tracking), preparation of Board and committee meeting agendas, signature processes, presentations, resolutions, consents, annual meeting preparation, minutes and other materials, including via our electronic board portal.
- Support the timely preparation, review and submission of SEC and other corporate filings, including coordinating with external legal counsel as well as company leaders to ensure final sign-off/alignment prior to release.
- Draft, review and revise standard commercial contracts, NDAs and other routine legal documents under the supervision of the legal team.
- Identify, design and implement new processes and procedures to improve efficiency, productivity and communication.
- Support special projects, including M&A/strategic transactions, research and project management, as needed.

- Strong ability to self-motivate and thrive in managing/leading projects in a fast-paced, rapidly changing environment, with a desire to develop better and more efficient processes.
REQUIRED BACKGROUND
- Bachelor’s degree or ABA-approved paralegal certification.
- Notary public is a plus.
- 2+ years of corporate paralegal experience at a top law firm and/or an in-house legal team. Public company experience (including SEC reporting) is a big plus.
- Strong proficiency in Microsoft Office programs, including Word, Outlook, Excel and PowerPoint, as well as a deep comfort with learning new programs and software.
- Although travel will not be common for this position, the Corporate Paralegal must be willing to travel, as necessary, within and outside the United States.
